About these terms
These Terms of Service (the “Terms”) form a binding agreement between you and ShopEarnPro, Corporation, doing business as BeeYard (“BeeYard,” “we,” “us,” or “our”). They govern your access to and use of app.beeyard.com and related websites, applications, marketplace functions, communications, and services (collectively, the “Services”).
By creating an account, clicking to accept these Terms, or accessing or using the Services, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Services.
The marketplace is currently in private beta. Features described in these terms apply when available. This public website provides company, policy, and SMS program information.
1. Eligibility and accounts
You must be at least 18 years old and legally capable of entering into a contract to use the Services. If you use the Services for a business or other organization, you represent that you have authority to bind that organization, and “you” includes that organization.
You must provide accurate, current, and complete account information and keep it updated. You are responsible for safeguarding your credentials and for activity conducted through your account. Notify us promptly at support@beeyard.com if you suspect unauthorized access. We may require identity, business, payment, tax, or other verification where reasonably necessary to protect users, comply with law, or operate the marketplace.
2. Marketplace role
BeeYard provides technology that allows users to discover, offer, buy, sell, or otherwise transact in goods or services (“Listings”). Unless a Listing expressly states otherwise, BeeYard is not the seller, buyer, manufacturer, owner, warehouse, carrier, or agent of the parties to a transaction. The contract for a marketplace transaction is generally between the buyer and seller.
We may provide tools for listings, messaging, ordering, payment facilitation, reviews, disputes, and customer support. Providing those tools does not mean we control or guarantee a user's identity, the existence, legality, safety, quality, condition, authenticity, delivery, or suitability of any Listing, or that a party will complete a transaction.
3. User obligations
You agree to use the Services lawfully, honestly, and in accordance with these Terms and any marketplace rules presented in the Services. You are responsible for your Listings, purchases, communications, taxes, permits, licenses, product claims, and compliance obligations.
Sellers must accurately describe Listings, disclose material conditions or restrictions, have the right to offer them, and fulfill accepted orders.
Buyers must provide accurate transaction and delivery information and pay all disclosed amounts when due.
Users must communicate respectfully and must not manipulate ratings, reviews, referrals, promotions, or marketplace metrics.
4. Prohibited conduct and Listings
You may not use the Services to violate law, infringe rights, deceive or harm others, interfere with the Services, bypass security controls, scrape or access the Services by unauthorized automated means, distribute malware, send spam, impersonate another person, or misuse another user's data.
You may not list or transact in prohibited, stolen, counterfeit, unsafe, recalled, or unlawful items. Regulated items may be offered only when expressly permitted by BeeYard and applicable law. Additional prohibited-item and acceptable-use rules may be displayed in the Services and form part of these Terms.
5. Orders, pricing, payments, fees, and taxes
Prices, fees, delivery charges, taxes, and other material transaction terms will be shown before an order is submitted. You authorize BeeYard and its payment service providers to process amounts connected with your use of the Services, including authorized adjustments, refunds, chargebacks, or seller payouts, as applicable.
Marketplace service fees and payout terms, if any, will be disclosed in the Services before you incur a fee. Except where law requires otherwise or a specific policy states otherwise, fees paid to BeeYard are non-refundable. Each user is responsible for determining, collecting, reporting, and remitting taxes for which that user is legally responsible. BeeYard may collect, withhold, report, or remit taxes when required by law.
6. Cancellations, returns, refunds, and disputes
Cancellations, returns, refunds, delivery issues, and transaction disputes are governed by the applicable terms shown with the Listing and any cancellation or return policy disclosed before purchase. Nothing in these Terms limits mandatory consumer rights that cannot legally be waived.
Users should first attempt to resolve transaction concerns through the tools provided in the Services. BeeYard may facilitate a resolution, issue or deny a refund where authorized by a marketplace policy, hold or reverse funds where permitted, or request supporting information. Any assistance we provide does not make BeeYard a party to the underlying transaction unless applicable law provides otherwise.
7. SMS authentication and security messages
The BeeYard SMS Authentication Program is operated by ShopEarnPro, Corporation. With your separate, affirmative SMS consent, we send one-time passcodes and verification codes for account verification, sign-in, multi-factor authentication, and recovery. This program does not send marketing, promotional messages, order updates, or unrelated account notices. Enrollment confirmations and HELP or opt-out replies support the program.
SMS consent is optional, separate from acceptance of these Terms, and not a condition of purchasing goods or services. Entering a phone number or accepting these Terms alone is not SMS consent. You must be authorized to use the number you enroll and keep it current.
Message frequency varies with your authentication and resend activity. Message and data rates may apply. Reply HELP for help or contact support@beeyard.com. Reply STOP to the sending number to cancel.
For US toll-free messaging, the carrier sends the STOP confirmation and blocks future messages from that number. Text START or UNSTOP to that same number to re-enroll. Requesting a new OTP in the application does not remove that block. After opting out, SMS authentication may be unavailable; contact support for help with available account-access options.
Carriers are not liable for delayed or undelivered messages. Do not share your verification codes.
No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Text messaging originator opt-in data and consent will not be shared with any third parties except service providers necessary to operate the messaging program.
The SMS program terms provide the specific enrollment, cancellation, support, and re-enrollment rules and are incorporated into these Terms. They control if a general provision of these Terms conflicts on an SMS-program matter. The SMS privacy provisions govern mobile information and SMS consent data.
8. User content and licence
You retain ownership of text, photographs, videos, reviews, messages, trademarks, and other material you submit to the Services (“User Content”). You grant BeeYard a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, reproduce, adapt, publish, translate, display, distribute, and otherwise use User Content as reasonably necessary to operate, secure, improve, and promote the Services and your Listings, subject to our Privacy Policy.
You represent that you have the rights needed to submit User Content and grant this licence. We may remove or restrict User Content that violates these Terms, law, or the rights or safety of others.
9. Intellectual property
The Services, including BeeYard software, design, branding, text, graphics, and other content supplied by us, are owned by or licensed to BeeYard and are protected by intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Services for their intended purpose. No other rights are granted.
If you believe content on the Services infringes your rights, contact legal@beeyard.com with sufficient details for us to evaluate the report.
10. Third-party services
The Services may rely on or link to third-party services, including identity, payment, hosting, mapping, delivery, analytics, or communication providers. Third-party services may have separate terms and privacy practices. BeeYard is not responsible for third-party services outside our reasonable control.
11. Suspension and termination
You may stop using the Services at any time and may request account closure using the account tools or by contacting support@beeyard.com. We may investigate, limit, suspend, or terminate access; remove Listings or User Content; hold transactions or payouts where permitted; or take other reasonable action if we believe there is fraud, risk, unlawful conduct, a breach of these Terms, non-payment, harm to users or the Services, or a legal requirement.
Where reasonable, we will provide notice and an opportunity to address the issue, but we may act immediately when needed to protect users, funds, data, the Services, or legal compliance. Provisions that by their nature should survive termination will survive, including ownership, payment obligations, disclaimers, liability limits, indemnity, and dispute provisions.
12. Service changes and availability
We may add, change, suspend, or discontinue features and may perform maintenance. We do not promise that the Services will always be available, uninterrupted, secure, or error-free. We will use commercially reasonable efforts to provide notice of material changes that significantly affect users when practical.
13. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” BEEYARD DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR COLLATERAL, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND QUIET ENJOYMENT.
BEEYARD DOES NOT WARRANT OR GUARANTEE ANY USER, LISTING, TRANSACTION, USER CONTENT, THIRD-PARTY SERVICE, DELIVERY, RESULT, OR INFORMATION AVAILABLE THROUGH THE SERVICES. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEEYARD AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, BUSINESS, OR OPPORTUNITY, ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEEYARD'S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID DIRECTLY TO BEEYARD DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) CAD $100. THESE LIMITS DO NOT APPLY TO LIABILITY THAT CANNOT LEGALLY BE LIMITED OR EXCLUDED.
15. Indemnity
To the extent permitted by law, you will defend, indemnify, and hold harmless BeeYard and its affiliates, officers, directors, employees, contractors, and service providers from claims, liabilities, losses, damages, judgments, penalties, costs, and reasonable legal fees arising from your Listings, User Content, transactions, taxes, breach of these Terms, violation of law, or infringement of another person's rights. This obligation does not apply to the extent a claim results from BeeYard's own unlawful conduct.
16. Privacy
Our Privacy Policy explains how we collect, use, disclose, retain, and safeguard personal information. By using the Services, you acknowledge that policy. If these Terms conflict with the Privacy Policy on a matter concerning the handling of personal information, the Privacy Policy controls for that matter.
17. Governing law and disputes
These Terms are governed by the laws of the State of Delaware and applicable United States federal law, without regard to conflict-of-law principles. Subject to any mandatory consumer-protection rights, the courts located in Dover, DE will have exclusive jurisdiction over disputes arising from or relating to these Terms or the Services. Before initiating formal proceedings, you and BeeYard agree to attempt, in good faith, to resolve the dispute through written notice and reasonable discussion for at least 30 days.
18. Changes to these Terms
We may update these Terms from time to time. We will post the updated version and revise the effective date. If a change is material, we will provide additional notice where required or reasonably appropriate. Changes apply prospectively from their stated effective date. Continued use of the Services after that date constitutes acceptance, except where law requires another form of consent.
19. General terms
These Terms, the Privacy Policy, and policies expressly incorporated by reference constitute the entire agreement between you and BeeYard concerning the Services. If a provision is unenforceable, it will be modified only to the minimum extent necessary, and the remaining provisions will continue in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them as part of a reorganization, financing, merger, acquisition, asset transfer, or by operation of law. Headings are for convenience only. Electronic notices and records satisfy any writing requirement to the extent permitted by law.
